Provide counsel to Mt. Logan’s third-party capital management team, including with regards to its’ insurance-linked securities (ILS) offerings as well as collateralized reinsurance vehicles.
Advise on reinsurance-related aspects of strategic transactions within Mt. Logan, including capital markets transactions.
Provide technical guidance and oversight on the provision of legal advice to Mt. Logan personnel.
Prepare and/or review key ILS transaction and other documentation and business proposals.
Review and manage outside counsel process.
Assist in the development of legal policy and procedures where required.
Undertake legal research and analysis as required.
Preparation of monthly reporting, quarterly reviews and other analysis as requested.
Manage and partner with outside counsel to ensure high-quality work product.
Make strategic decisions with a focus on consistency and the big picture.
Support projects that are time-sensitive, highly visible inside and outside of the Company, and key to Everest Bermuda’s strategic initiatives.
Serve as Everest Bermuda’s Chief Compliance Officer and Money Laundering Reporting Officer.
Act as liaison with Everest Group Compliance Department generally for all Group Compliance interactions and initiatives.
Manage and address all customer queries and consumer complaints received from customers and Bermuda regulatory bodies.
Advise on and monitor Everest Bermuda’s compliance with relevant privacy laws, receive and respond to requests, and ensure that company staff are appropriately informed and trained on the companies’ privacy policies and procedures.
Facilitate the Company’s collaboration with Group Compliance Department and its participation, as required, in second-line compliance initiatives related to sanctions and financial crimes, Ethics Guidelines (including conflicts of interest and employee stock trading), insurance and reinsurance law and regulation, privacy and data security, and other subject matters.
Provide broad regulatory counsel to Everest Bermuda’s business and operational functions.
Serve as primary legal contact and liaise as necessary with the Bermuda Monetary Authority (“BMA”) and all other Bermuda regulators.
Ensure company compliance with the Companies Act 1981, the Economic Substance Act 2018 and related regulations, the Exchange Control Act 1972 and related regulations, the Insurance Act 1978 and related rules and regulations and the Segregated Accounts Company Act of 2000 and related rules and regulations.
Work with management team to ensure compliance with the Insurance Manager Code of Conduct including documentation requirements related to customer due diligence.
Liaise with Home Office Law Department colleagues and other Group functional areas to ensure coordination and implementation of company policy and procedures.
Manage monthly, quarterly and annual corporate business filings with Bermuda regulators, notably the BMA.
Manage and oversee Everest Bermuda’s insurance licensing, including license applications for any new lines of business.
Oversee data regulatory reporting to the BMA and related governmental entities.
Negotiate, draft and edit various commercial, vendor, IT and other third-party corporate contracts.
Stay abreast of and provide counsel regarding changes in local laws and regulations as they relate to and impact the companies.
Serve as Corporate Secretary to Everest Bermuda, including drafting resolutions, preparing and maintaining meeting minutes, ensuring that Board composition and board charters/mandates comply with applicable law and Company policies.
Provide legal counsel on the development, implementation and maintenance of corporate governance policies and procedures in accordance with BMA’s corporate governance guidelines.
Provide counsel on broad range of Bermuda employment law matters.
Serve as a trusted advisor to Human Resources and business stakeholders to help inform strategy and build necessary local employment policies and practices.
Ensure compliance with local employment laws and other Bermuda common law requirements.
Support Human Resources relative to investigations, performance management, terminations and reorganizations; draft separation agreements.
Support the Benefits function with regard to leave and accommodation, ensuring compliance with local laws.
Work closely with Recruiting on drafting offer letters and employment contracts.
Engage and direct outside counsel on employment related matters as necessary.
10+ years of law firm experience at a Top Tier law firm, and/or in-house with a major reinsurance or insurance company; experience in financial services strongly preferred.
Strong experience advising on and supporting complex investments and/or reinsurance transactions.
Must be admitted and a member in good standing of the Bermuda bar.
Transactional background and experience in areas, including:
Structured and bespoke (re)insurance solutions
CAT Bonds and Insurance-Linked Securities (ILS)
Capital Markets
Prior work preparing information memoranda, proxy statements and related outreach to shareholders and investors.
Familiarity with the BMA’s Corporate Governance Guidelines.
Broad knowledge of Bermuda regulatory and employment laws and regulations.
Experience with corporate secretarial matters.
Insurance claims or underwriting experience a plus, but not required.
Reinsurance experience required.
Experience advising business clients on complex matters and emergent events.
Litigation and claims-related experience a plus, but not required.
Candidates must possess strong negotiating and organizational skills, analytical ability, and excellent writing and communication skills.
Must be willing to travel as needed.
Strong work ethic, ability to self-manage and work in a team environment.
