SUMMARY

The Corporate Counsel provides practical, timely, quality legal guidance to help Zappos meet its business objectives, and remain in compliance with laws, rules and regulations applicable to the company's businesses. This position requires a generalist with the ability to handle a wide variety of legal issues, experience with marketing, advertising, e-commerce, data security and privacy matters is preferred.

WHAT YOU WILL BE DOING

• Serve as legal advisor to Senior Managers and Managers throughout the Company.

• Assist in providing legal support to one or more of the Company’s business units or subsidiaries.

• Supervise the drafting of, as well as review, draft, and advise on a wide range of commercial agreements including professional services agreements, consulting agreements, agency agreements, software license and hosting agreements, software development agreements and supply agreements.

• Support Zappos’ consumer facing businesses with a focus on marketing, advertising and intellectual property issues, including contracting, conducting advertising reviews, and providing counsel on e-commerce, data security and privacy issues.

• Provide support on regulatory and compliance issues.

• Collaborate and work as part of a team with business leaders and other partners to provide creative solutions to business issues while eliminating or minimizing legal risks.

• Assist business clients with contract and other commercial disputes that may arise.

• Assist with managing outside counsel and developing strategy for litigation and regulatory proceedings.

• Handle day to day legal issues that arise and develop, review and revise various policies, processes, templates and forms.

• Supervise and mentor other members of the legal team as needed.

• Attention to additional areas of responsibility, special assignments or projects as assigned by the associate chief legal counsel and chief legal counsel from time to time.

• Will require some travel, as needed.

WHAT YOU BRING TO THE TABLE

• Juris Doctor (J.D.) in Law.

• Admitted to the practice of law and a member in good standing of the bar in one (1) or more states.

• At least two (2) years of applicable law practice experience.

• At least two (2) years of corporate legal experience.

• Proven experience as a legal counsel in business environment

• Excellent knowledge and understanding of corporate law and procedures.

• Full comprehension of the influences of the external environment of a corporation.

• Demonstrated ability to create legal defensive or proactive strategies.

• High degree of professional ethics and integrity.

• Sound judgement and ability to analyze situations and information.

• Outstanding communication skills.

WHAT WILL REALLY WOW US

• At least four (4) years of legal practice experience.

• Strong communication and organizational skills.

• Ability and willingness to travel at least one (1) week per month.

Th e base pay range for this position is $187,500 to $213,500 per year; however, base pay offered may vary depending on job-related knowledge, skills, and experience. In addition, a full range of medical and other benefits is offered.
