      The Paralegal will assist and support the Chief Legal Officer with the preparation and review of communications and legal documents including contracts, agreements, board materials, and corporate filings, and will draft and manage corporate records.

      We are looking for an experienced Corporate Paralegal to join our team in the Metro Orlando, Florida area. The candidate will primarily assist and support the General Counsel (GC) with a variety of corporate and governmental affairs issues.

      Duties/Responsibilities:

      • Assist attorneys with the preparation and review of communications and legal documents including contracts, agreements, board materials, and corporate filings


      • Draft and manage corporate records


      • Perform data entry tasks accurately to maintain up-to-date records


      • Collaborate with team members and send prompts, reminders, and escalates issues to ensure timely completion of projects


      • Primary point of contact supporting the vendor handling statutory compliance for corporate entity annual reporting and registered agent services


      • Work with licensing team, supporting their department of insurance licensing efforts if and as needed


      • Support attorneys in preparing audit letter responses and completing audits


      • Perform administrative duties for the General Counsel, as needed


      • Provide all required legal support for merger and acquisition activities


      • Provide all legal support for the SVP- Business Development regarding new revenue opportunities for the Company


      • Provide all legal support for development and maintenance of ethics and corporate governance program


      • Provide all support for the Company government affairs functions


      • Assist staff and attorneys with contract drafting/procurement and negotiation as needed


      • Other duties as assigned


      Required Skills/Abilities:

      • Bachelor's degree


      • 4 years of experience performing tasks and efforts similar to those outlined above


      • Capable of working independently but with ability to recognize when to seek guidance in complex situations


      • Top-tier organizational skills with the ability to prioritize tasks effectively


      • Top-tier written and verbal communication skills


      • Ability to work in a fast-paced environment and flexibly changing priorities in a high-growth organization


      • Adapt and adjust job responsibilities to accommodate changing priorities while managing multiple requirements and timelines


      Preferred Skills/Abilities:
      • Experience preparing option award and stock repurchase agreements is a plus


      • Familiarity with IP law is a plus


      Physical Requirements:

      Prolonged periods of sitting at a desk and working on a computer, typically in a cubicle environment (constant noise, fluorescent overhead lighting)
