- Draft, review, and negotiate a variety of agreements, including renewals, amendments, statements of work, confidentiality agreements, material transfer agreements, research collaborations, and other vendor contracts.
- Be accountable for day-to-day contract workflow, ensuring contracts are assigned, drafted, processed, reviewed, tracked, and executed accurately in a timely manner.
- Develop and implement the overall contracts strategy to support organizational goals.
- Ensure contracts comply with all applicable laws, regulations, and policies.
- Reviews legal documents such as contracts and other legal documents.
- Maintain accurate records for all contract-related correspondence and documentation and support Denali’s internal contract database.
- Identifies and implements appropriate programs and policies to minimize loss, such as avoidance, reduction, retention or transfer of risk.
- Conduct independent research and provide logical analysis on contractual positions and requirements facilitating Executive leadership understanding and decision making.
- Interface with internal partners, external partners, vendors, and service providers to foster productive company relationships and skillfully and collaboratively negotiate key contract terms, balancing scientific principles and business needs with legal risk.
- Analyzes and classifies risks as to frequency and potential severity and makes recommendations to others to develop business strategies and promote opportunities.

Summary
Develop and implement the overall contracts strategy to support organizational goals. Reviews contract related documents, investigates facts, performs contract negotiations and prepares documents to promote company business while mitigating risks. Leads the Contracts Department to plan and execute agreement updates and renewals. Implements and executes administrative policies related to contracts management.
Essential Duties and Responsibilities:
Education and/or Experience:
A bachelor’s degree (B.A.) from four-year college or university is required. A minimum of ten (10) years’ experience related to contracts management with master service agreements at a national level is required. A combination of education and work experience will be considered.
Supervisory Responsibilities: Manage and oversee the Contracts Department for the organization. Lead direct reports through annual goal setting, growth planning, adherence to company policies, maintain training compliance and provide ongoing feedback on growth, development and areas of improvement.
Certifications, Licenses, Registrations:
Contracts or Risk Management certificate or equivalent training in preparing for a certificate.
