      As Lead Commercial Counsel, you will serve as a trusted legal advisor to Numerator’s business leaders, providing strategic and pragmatic legal counsel on a wide range of commercial and regulatory matters. Reporting to the General Counsel, you will lead contract negotiations, develop scalable legal processes, manage a global team, and help the business navigate complex legal challenges. This is a high-impact role that requires a proactive, business-oriented mindset and the ability to thrive in a fast-paced, innovative environment.

      What You’ll Do:

      • Contract Negotiation & Drafting: Lead the drafting, review, and negotiation of a variety of commercial agreements, including SaaS agreements, data licensing agreements, vendor contracts,and strategic partnership agreements.

      • Risk Mitigation: Identify and assess legal risks in contractual arrangements and propose practical solutions to mitigate them.

      • Regulatory Compliance: Ensure contracts comply with applicable laws and regulations, including privacy and data protection laws (e.g., GDPR, CCPA). Stay ahead of emerging legal trends affecting technology and data-driven businesses.

      • Process Improvement: Develop and maintain contract templates, playbooks, and scalable processes to drive efficiency and consistency across the organization.

      • Cross-Functional Collaboration: Partner closely with teams across Sales, Product, and Finance to provide timely and pragmatic legal advice that aligns with business objectives and financial goals.

      • Strategic Counsel: Advise on complex transactions, including those involving emerging technologies, data privacy, and security.

      • Team Leadership: Mentor and guide junior legal team members, fostering a collaborative and high-performing legal function.

      • Juris Doctor (JD) and active membership in at least one U.S. state bar.

      • 5-7+ years of experience, ideally mostly in an in-house legal department, with a focus on SaaS, technology, or data-driven businesses.

      • Demonstrated expertise in drafting and negotiating complex commercial agreements.

      • Strong knowledge of privacy and data protection laws (e.g., GDPR, CCPA) and their application to technology transactions.

      • Exceptional business judgment and the ability to provide clear, strategic advice in ambiguous situations.

      • Proven ability to manage multiple projects and meet deadlines in a fast-paced environment.

      • Excellent interpersonal and communication skills, with a track record of building trust and strong relationships with stakeholders.
