- Serve as a primary attorney advising our Corporate Treasury team on capital markets and securities transactions.
- Provide substantive legal advice regarding the company's capital markets activities, including debt and equity issuances, repurchases and redemptions.
- Ensure compliance with securities law requirements and best practices for significant capital markets transactions.
- Review and update relevant capital markets disclosures, including registration statements and prospectuses.
- Handle various corporate governance activities related to the company's funding transactions, including inter-affiliate funding matters.
- Provide legal advice and influence objectives, plans, resources, and long-term goals for highly complex liquidity and funding needs.
- Handle matters that have a significant impact on the Company's operations, funding, and liquidity.
- Collaborate strategically with peers and business leaders to resolve issues, achieve goals, and implement risk management objectives related to the company's capital markets activities.
- 5+ years of Law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
- Active State Bar membership or the equivalent in a country outside the United States
- 5+ years of demonstrated sound knowledge and experience advising companies and issuers on capital markets transactions and securities law compliance matters.
- Strong securities and corporate law background, including demonstrated knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
- Significant experience providing substantive legal advice on a variety of capital markets transactions, including debt and equity issuances, repurchases, and redemptions.
- Significant experience reviewing and updating relevant capital markets disclosures, including registration statements and prospectuses.
- Strong attention to detail and accuracy.
- Excellent verbal, written, and interpersonal communication skills.
- Ability to work effectively in a complex environment with a high degree of collaboration.
- Financial services industry experience.
- Ability to analyze, develop, and execute solutions to complex legal issues.
- Ability to work a hybrid schedule (in office at least 3 days a week) at one of our approved job posting locations.
